End User License Agreement (EULA)

This End User License Agreement (the "Agreement") sets forth the terms and conditions for the use of software products provided by the Company (including plugins, associated data, documentation, and updates; collectively, the "Software").

By downloading, installing, launching, or using the Software, you are deemed to have agreed to this Agreement. If you do not agree, do not use the Software, immediately cease using any installed copy, and delete all copies in your possession.

1. Definitions

  • "You" / "Customer": Any individual or entity that downloads, installs, launches, or uses the Software
  • "Free Version": A version provided for evaluation purposes with limited features or usage restrictions
  • "Paid Version": A version licensed upon purchase
  • "License": A non-exclusive, non-transferable right to use the Software in accordance with this Agreement
  • "License File": A signed file issued by the Company (e.g., .license) used for offline verification
  • "Online Revocation Check": A process by which the Software queries the Company's servers via the Internet to verify license validity (including refunds, cancellations, fraud, etc.)

2. Grant of License

2.1 Free Version

The Company grants you a limited license to use the Free Version for evaluation purposes. The features, restrictions, and availability period of the Free Version are determined by the Company and may be changed or terminated without notice.

2.2 Paid Version (Perpetual)

If you complete a purchase through a method designated by the Company and the Company issues a license, the Company grants you a license to use the Paid Version within the scope of this Agreement.

The Software is provided as a license, not a sale, and no intellectual property rights of the Company or any rights holders are transferred.

2.3 Installation Limits

Restrictions on the number of installations and usage environments shall be as specified by the Company (on the purchase page, product page, documentation, etc.).

2.4 License Transfer

You may not assign, sublicense, rent, sell, or transfer the rights or license under this Agreement to any third party without the prior written consent of the Company.

3. Authentication (Offline Verification and Online Revocation Check)

3.1 Offline Verification

The Software may perform offline verification using the License File to confirm that the license was issued by the Company (and has not been tampered with). Offline verification is designed to work without an Internet connection.

3.2 Online Revocation Check (After Offline Verification)

The Company may implement online revocation check functionality in the Software to address refunds, payment cancellations, chargebacks, fraudulent use, or other situations the Company reasonably deems necessary, even after offline verification is complete.

Overview of Online Revocation Check (details may be separately specified by the Company):

  • The Software will attempt online revocation checks at certain intervals only when a network connection is available.
  • If verification temporarily fails, access will not be immediately denied; a grace period may be provided.
  • If the online revocation check cannot be completed beyond the grace period, the Company may restrict some or all features of the Software (e.g., revert to Free Version functionality).

* Online revocation check may fail due to your network environment or firewall settings. You are responsible for configuring your system to allow the Software's network communication as needed.

4. Prohibited Activities

You shall not:

  • Reverse engineer, decompile, disassemble, analyze, modify, circumvent, or facilitate such activities on the Software
  • Forge, tamper with, impersonate, or illegally generate the Software, License File, or related data
  • Infringe on the rights of the Company or third parties (copyright, trademark, patent, trade secrets, etc.)
  • Use the Software in a manner that violates laws or public order and morals
  • Interfere with the provision or operation of the Software (excessive requests, vulnerability scanning, attacks, etc.)

5. Third-Party Components

The Software may include libraries, frameworks, or other components provided by third parties. These are subject to the license terms of their respective rights holders. Information about third-party components is provided in the product documentation or on our website.

6. Updates and Support

The Company may, at its discretion, provide updates, fixes, feature changes, or changes to the delivery method of the Software.

The Company does not guarantee the provision of support, and if provided, its content, scope, and method are at the Company's discretion.

7. Fees and Payment

Fees, payment methods, taxes, and other charges for the Paid Version are subject to the terms displayed at the time of purchase.

Payment may be processed through payment processors such as Stripe, and you must also comply with their terms of service.

8. Refund Policy (Important)

8.1 General Rule

The Software is a digital product, and a Free Version is available for evaluation before purchase. Therefore, refunds for customer convenience are generally not accepted.

8.2 Exceptions (Legal Requirements, Significant Defects, etc.)

However, the following exceptions apply:

  • When refunds or remedies are required by applicable law
  • When there is a significant defect in the Software, the Company cannot repair or provide an alternative within a reasonable period, and you have followed reasonable procedures
  • When you suffer damages due to gross negligence by the Company (liability is subject to Sections 10 and 11)

8.3 Consequences of Refunds, Cancellations, or Chargebacks

If a refund, payment cancellation, chargeback, or similar action is processed by the Company or a payment processor, the license based on that purchase will be terminated or revoked, and the Company may suspend or restrict use of the Software through online revocation check or other means.

9. Termination

The Company may suspend or terminate your license with or without notice if any of the following apply:

  • You violate this Agreement
  • The validity of your purchase is lost due to refund, cancellation, chargeback, etc.
  • Fraudulent use, deceptive conduct, or reasonable suspicion thereof
  • The Company determines it necessary for legal compliance or security purposes

Upon termination of your license, you must immediately cease using the Software and delete all copies (including License Files) in your possession.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS."

THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR ERROR, THAT IT IS FIT FOR A PARTICULAR PURPOSE, OR THAT IT DOES NOT INFRINGE THE RIGHTS OF THIRD PARTIES (EXCEPT WHERE WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE LAW).

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION) ARISING FROM THE USE OR INABILITY TO USE THE SOFTWARE.

In the event the Company is held liable, the Company's total liability shall be limited to the amount actually paid by you to the Company in connection with the matter giving rise to such liability.

12. Personal Information and Communications

The Company handles information obtained from you (information required for purchases, support inquiries, data transmitted during online revocation checks, etc.) in accordance with the Company's Privacy Policy and applicable laws.

The scope of information transmitted during online revocation checks is determined separately by the Company, and we endeavor to keep it to the minimum necessary.

13. Export Control

You shall comply with applicable export control laws and economic sanctions regulations and shall not use, export, re-export, or transfer the Software in violation of such laws and regulations.

14. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Japan.

Any and all disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

However, if mandatory provisions of your country of residence provide otherwise, such provisions shall prevail to that extent.

15. Modifications to the Agreement

The Company may modify this Agreement within reasonable limits. The modified Agreement shall take effect when announced through means the Company deems appropriate, such as posting on our website or displaying within the Software.

If you use the Software after the modification, you are deemed to have agreed to the modified Agreement.

16. Severability

If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, such provision shall remain effective to the maximum extent permitted under applicable law, and the remaining provisions of this Agreement shall continue in full force and effect.

17. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding the use of the Software and supersedes all prior agreements, representations, and understandings, whether written or oral, relating to the subject matter of this Agreement.

18. No Waiver

The Company's failure to exercise or delay in exercising any right or remedy under this Agreement shall not constitute a waiver of such right or remedy and shall not prevent future exercise of such rights.

19. Language

This Agreement may be provided in Japanese and English. In the event of any conflict or discrepancy between the two language versions, the Japanese version shall prevail.
